Effective Date: November 2026 • Entity: Zone OS CRM LLC

Welcome to kariba-os.co, operated by Zone OS CRM LLC ("KaribaOS"). These Terms of Service ("Terms") govern your access to and use of our website, autonomous 3D apparel SaaS operating system, AI design tools, and workspace subscriptions. By accessing or using this Site, you confirm that you are at least 18 years of age and agree to be bound by these Terms.

1. Account Eligibility & Adult Commercial Capacity (18+)

18+ Requirement: You must be at least 18 years of age and possess full legal capacity to enter into binding commercial contracts.
Account Security: You are responsible for maintaining the confidentiality of your credentials and all activities occurring under your account.

2. Non-Custodial SaaS Architecture & Merchant of Record Status

Independent Merchant of Record: KaribaOS (Zone OS CRM LLC) provides cloud software infrastructure only. Every subscribing brand is the sole Merchant of Record for its storefront orders, taxes, refunds, chargebacks, and consumer support.
Direct Payouts: Customer checkout funds route directly to your connected Stripe Connect Standard, PayPal Business, or authorized regional merchant account. Zone OS CRM LLC never holds custodial retail balances.
SaaS Subscriptions & Credits: B2B SaaS plans and AI/3D credit packs are billed by Zone OS CRM LLC according to your selected plan tier and region lock.

3. Intellectual Property & DMCA Indemnification

All original platform software, 3D WebGL shaders, and brand assets on kariba-os.co remain the exclusive property of Zone OS CRM LLC and its technology licensors. You agree to indemnify, defend, and hold harmless Zone OS CRM LLC and Zone OS CRM LLC (KaribaOS) against any third-party intellectual property, trademark, or DMCA claims arising from user-submitted content.

4. Disclaimers & Limitation of Liability

THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

IN NO EVENT SHALL ZONE OS CRM LLC OR ITS INFRASTRUCTURE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE SITE.

5. Governing Law

These Terms are governed by and construed in accordance with the State of New Jersey and the federal laws of the United States, with exclusive venue in the Essex County, New Jersey, USA.
